2. Use of Our Website
You agree to use this website only for lawful purposes and in a manner that does not:
- Violate any applicable Nigerian law or regulation;
- Infringe the rights of PalmGate or any third party;
- Attempt to gain unauthorized access to our website, systems, accounts, or databases;
- Introduce malware, viruses, malicious code, or other harmful material;
- Interfere with the normal operation or security of the website;
- Use our website to engage in fraudulent, deceptive, abusive, or unlawful activities.
PalmGate reserves the right to restrict or terminate access to the website where we reasonably believe these Terms have been violated.
3. Information on Our Website
We make reasonable efforts to ensure that information published on our website is accurate and useful. However, information may occasionally contain errors, omissions, outdated information, or typographical mistakes.
We reserve the right to correct, update, modify, or remove website content at any time without prior notice.
Information about products and services does not necessarily constitute a binding offer unless expressly stated otherwise.
4. Our Services
PalmGate provides a variety of services, and the specific terms applicable to a particular project may be contained in a quotation, invoice, proposal, service agreement, purchase order, or other written communication.
Where a specific written agreement exists between PalmGate and a client, the terms of that agreement will apply to the extent that they differ from these general Terms & Conditions.
Clients are expected to provide accurate information, instructions, specifications, materials, content, logos, photographs, documents, and other resources required for the delivery of their project.
5. Quotations and Pricing
Unless otherwise stated:
- Quotations are based on the specifications and requirements provided by the client.
- A quotation may have a stated validity period.
- Changes to project specifications may result in additional costs.
- Prices may change where the cost of materials, third-party services, logistics, exchange rates, taxes, or other relevant operating costs changes.
- A quotation does not constitute acceptance of an order until PalmGate confirms the engagement.
- Additional work requested after approval of a quotation may be charged separately.
The final price applicable to an engagement will be communicated to the client before work requiring additional payment is undertaken.
6. Orders and Project Approval
An order or project may be considered accepted when PalmGate confirms it in writing, receives the required payment or deposit, or begins work following the client’s approval.
Depending on the nature of the project, PalmGate may require:
- A deposit or advance payment;
- Written approval of specifications;
- Approval of designs or proofs;
- Provision of required client materials;
- Confirmation of quantities, sizes, colours, formats, or other specifications.
Clients are responsible for carefully checking and approving information before production or publication begins.
7. Printing Services
For printing projects, clients are responsible for ensuring that all supplied content and specifications are correct before final production.
This includes, where applicable:
- Names and addresses;
- Telephone numbers;
- Prices;
- Dates and times;
- Spelling and grammar;
- Logos and brand information;
- Images;
- Page numbers;
- Colours;
- Dimensions;
- Quantities; and
- Other project-specific information.
Once a final proof has been approved for production, PalmGate will not ordinarily be responsible for errors that were present in the approved material.
Minor variations in colour, paper texture, finishing, cutting, folding, or other physical characteristics may occur because of differences in printing processes and materials. Such variations do not automatically constitute a defective product.
8. Publishing Services
For publishing projects, clients are responsible for ensuring that they have the necessary rights and permissions to publish materials supplied to PalmGate.
PalmGate reserves the right to decline publication of materials that we reasonably believe:
- Infringe copyright or intellectual property rights;
- Contain unlawful content;
- Promote fraud, violence, discrimination, or other unlawful activity;
- Violate applicable laws or regulations; or
- Expose PalmGate to unreasonable legal or reputational risk.
Where PalmGate provides editorial, design, formatting, proofreading, printing, or publishing support, the exact scope of the service will depend on the agreed project.
9. Digital, Web Design and Hosting Services
Where PalmGate provides website design, development, maintenance, domain, hosting, or related digital services:
- The scope of work will be based on the agreed proposal or service package.
- Clients are responsible for providing accurate content and necessary access credentials where required.
- Third-party platforms, plugins, themes, APIs, hosting providers, payment gateways, and other external services may have their own terms and limitations.
- PalmGate cannot guarantee uninterrupted availability of third-party services.
- Website maintenance, security monitoring, updates, backups, and technical support will depend on the package purchased.
- Clients remain responsible for the legality and accuracy of content published on websites developed or managed on their behalf.
Domain registration and hosting fees may be subject to separate renewal periods and payment requirements.
10. Media, Branding and Advertising Services
PalmGate may provide media production, communication, branding, advertising, graphic design, promotional materials, and related services.
The client is responsible for ensuring that claims, statements, images, trademarks, products, and other materials supplied for advertising or publication are lawful and properly authorized.
PalmGate may decline to publish or distribute advertising content that it reasonably considers unlawful, misleading, defamatory, fraudulent, discriminatory, offensive, or otherwise inappropriate.
11. Agriculture & Agribusiness Services
PalmGate may participate in or provide agricultural and agribusiness-related services, products, training, consultancy, market-linkage activities, farm support, and related business opportunities.
Agricultural activities may be affected by factors beyond PalmGate’s control, including:
- Weather conditions;
- Pests and diseases;
- Market fluctuations;
- Transportation challenges;
- Government policies;
- Input availability;
- Natural disasters; and
- Other agricultural or economic risks.
Where an agricultural engagement involves specific contractual arrangements, the applicable project or service agreement will determine the rights and obligations of the parties.
12. Training and Consulting
Training and consulting services are provided according to the agreed programme, scope, duration, and deliverables.
Participation in a PalmGate training programme does not automatically guarantee employment, business funding, contracts, grants, profits, certification, or any particular financial outcome unless expressly stated in writing.
Participants are responsible for applying professional judgement when using information received during training or consulting engagements.
13. Payments
Payments for PalmGate products and services may be made through payment methods communicated or provided by PalmGate.
Unless otherwise agreed:
- Required deposits or advance payments must be made before work begins.
- Payment must be made according to the agreed quotation, invoice, or payment schedule.
- PalmGate may suspend work where an agreed payment becomes overdue.
- Additional services or changes outside the original scope may attract additional charges.
- The client is responsible for ensuring that payment information supplied during a transaction is accurate.
A payment does not necessarily constitute acceptance of additional work outside the original agreement.
14. Refunds and Cancellations
Refunds and cancellations are governed by PalmGate’s Refund & Cancellation Policy.
Because many PalmGate services involve customized work, materials, labour, third-party expenses, or advance commitments, cancellation and refund rights may vary depending on the nature and stage of the project.
Clients should review the Refund & Cancellation Policy before making payment.
15. Intellectual Property
Unless otherwise agreed in writing, PalmGate retains ownership of its pre-existing intellectual property, including its:
- Brand identity;
- Logos;
- Website materials;
- Templates;
- Designs;
- Business methodologies;
- Original written materials;
- Photographs and media assets;
- Software or digital resources; and
- Other proprietary materials.
Where a client commissions an original design, publication, website, artwork, or other creative work, ownership and usage rights will depend on the agreement between PalmGate and the client and, where applicable, full payment of the agreed fees.
Clients must not reproduce, distribute, modify, sell, or commercially exploit PalmGate’s proprietary materials without appropriate authorization.
16. Client-Supplied Materials
By submitting content, documents, photographs, logos, artwork, text, video, audio, trademarks, or other materials to PalmGate, you confirm that you have the necessary rights or permissions to use them.
You agree to indemnify PalmGate against claims arising from the unauthorized use of materials supplied by you, to the extent permitted by applicable law.
17. Confidentiality
PalmGate will take reasonable steps to protect confidential business information provided by clients.
Similarly, clients agree not to disclose PalmGate’s confidential commercial information, pricing arrangements, proprietary processes, unpublished materials, or other confidential information without authorization.
Confidentiality obligations do not generally apply to information that:
- Is already publicly available;
- Was lawfully known before disclosure;
- Becomes publicly available without breach of these Terms; or
- Must be disclosed by law or lawful government authority.
18. Third-Party Services and Links
Our website may contain links to third-party websites, platforms, payment providers, social media networks, or other services.
PalmGate does not control and is not responsible for the content, availability, security, privacy practices, or terms of third-party websites.
Use of third-party services is subject to the terms and policies of those providers.
19. Website Availability and Security
We make reasonable efforts to maintain the availability and security of our website. However, we cannot guarantee that the website will always be available, uninterrupted, completely secure, or free from errors.
Temporary interruption may occur because of:
- Maintenance;
- Hosting problems;
- Technical failures;
- Cybersecurity incidents;
- Internet connectivity issues;
- Third-party service interruptions; or
- Circumstances beyond our reasonable control.
20. Limitation of Liability
To the maximum extent permitted by applicable law, PalmGate will not be liable for indirect, incidental, consequential, special, or unforeseeable losses arising from the use of our website or services.
Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded under applicable Nigerian law.
Where PalmGate’s liability arises in connection with a particular paid service, the extent of liability may be governed by the specific agreement applicable to that service.
21. Force Majeure
PalmGate will not be considered in breach of these Terms where performance is delayed or prevented by circumstances beyond our reasonable control.
Such circumstances may include:
- Natural disasters;
- Fire;
- Flood;
- Epidemics or pandemics;
- War;
- Civil unrest;
- Government restrictions;
- Industrial disputes;
- Power or telecommunications failures;
- Major cyber incidents;
- Transportation disruptions; or
- Other events beyond reasonable control.
Where reasonably possible, PalmGate will communicate significant delays and work with affected clients to determine an appropriate solution.
22. Privacy and Personal Information
PalmGate may collect and process personal information in connection with website use, enquiries, orders, payments, service delivery, communications, and other legitimate business activities.
Our processing of personal information is subject to our Privacy Policy.
By using our website or engaging our services, you acknowledge that you should review the applicable Privacy Policy.
23. Careers and Employment
Information published on the Careers page regarding vacancies, internships, or employment opportunities is subject to the specific requirements stated in each vacancy announcement.
Submitting an application does not guarantee an interview, employment, internship placement, or any other engagement with PalmGate.
PalmGate reserves the right to withdraw, modify, or close a vacancy at any time.
24. Changes to These Terms
PalmGate may update these Terms & Conditions from time to time to reflect changes in our services, business practices, technology, or applicable legal requirements.
The updated version will be published on this page with a revised “Last Updated” date.
Your continued use of the website after changes are published constitutes acceptance of the updated Terms, to the extent permitted by law.
25. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Where a dispute cannot be resolved amicably, the parties may pursue appropriate legal remedies through a court or other lawful dispute-resolution mechanism with appropriate jurisdiction.
26. Dispute Resolution
PalmGate encourages clients to contact us first to resolve complaints or disputes amicably.
Where a dispute arises concerning a product or service, the parties should, where reasonably practicable:
- Identify the issue;
- Provide relevant documentation or evidence;
- Allow reasonable time for investigation;
- Attempt to reach a mutually acceptable resolution; and
- Resort to appropriate legal or alternative dispute-resolution mechanisms where necessary.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary, while the remaining provisions shall continue to apply.
28. No Waiver
Failure by PalmGate to enforce any provision of these Terms at any particular time does not constitute a waiver of our right to enforce that provision in the future.
29. Entire Agreement
These Terms, together with any applicable quotation, invoice, proposal, service agreement, Refund & Cancellation Policy, Privacy Policy, and other written agreements between PalmGate and a client, constitute the applicable understanding governing the relevant engagement.
Where there is a conflict between these general Terms and a specific written agreement, the specific agreement will generally take precedence for that particular engagement.
